These Terms of Use (the “Terms”) apply to your use of the website at www.roodcpas.com (the “Website”), which is operated by Rood & Dinis, LLP, a certified public accounting firm with offices in Sacramento, Folsom, and Palo Alto, California (“Rood & Dinis,” “we,” “us,” and “our”). By visiting or using the Website, you agree to these Terms. If you do not agree, please do not use the Website. Please also read our Privacy Policy, which explains how we handle information on the Website.
General Information Only — Not Professional Advice
The content on this Website, including service descriptions, client success stories, and blog articles, is provided for general informational purposes only. It is not tax, accounting, audit, legal, investment, or other professional advice, and it is not tailored to your situation. Laws, rules, and deadlines change, and articles may not reflect the most recent developments. Please do not act, or decline to act, based on anything on this Website without first speaking with a qualified professional about your specific circumstances. Nothing on this Website is an audit report, review report, or other attestation report, and it provides no assurance on any financial information.
No Client Relationship
Visiting this Website, reading its content, submitting a consultation request, booking a time through our scheduling page, or sending us an email or voicemail does not create a client relationship with Rood & Dinis, and it does not obligate us to provide any services to you. A client relationship begins only when you and Rood & Dinis have both signed a written engagement letter that describes the services we will provide. We may decline a request for any reason, including professional-standards or independence requirements that apply to certain services.
If you are already our client, including a client for whom we perform audit or review services, your engagement letter governs the services we provide to you, and nothing on this Website changes it.
If you have a deadline or an urgent matter, such as a tax filing date or a notice from a tax agency, please do not rely on a website form or an unanswered message. Contact us by phone or confirm with your current advisor.
Please Do Not Send Confidential Information Through the Website or by Email
The consultation request form, our scheduling page, and ordinary email are not secure ways to send confidential information. Please do not include Social Security numbers, bank or credit card account numbers, tax returns, financial statements, or other sensitive documents or details in the form, in the scheduling notes, or in an email. If we need documents from you, we will direct you to our secure client portal (Firm360). If you are not sure how to send something, please call us first. We cannot guarantee the confidentiality or security of information that you choose to send to us outside our secure client portal.
Consultation Requests, Scheduling, and Contacting Us
You may ask for a consultation by completing the form on our Contact page, by booking a time through our scheduling page (“Book a time”), or by calling or emailing us. We aim to respond to every call, email, and consultation request within one business day. In these Terms, “business day” means Monday through Friday, excluding holidays. This is a goal and not a guarantee, and a response is not an acceptance of an engagement. A scheduled call or meeting is a conversation to learn about your needs; it is not an engagement and does not by itself make us your advisor.
When you contact us, please give accurate information and only information that you are entitled to share. Please do not use the consultation form or our contact addresses for advertising or solicitations, and please do not submit information about another person unless you have the right to do so. We may disregard requests that appear to be automated, abusive, or unlawful. By submitting a request you agree to be contacted about that request, as stated on the form. Submitting a request does not subscribe you to any mailing list.
Resumes and Job Inquiries
If you send a resume or other job inquiry to info@roodcpas.com, we use it only to consider you for employment with Rood & Dinis, and we may keep it for as long as needed for that purpose. Please do not include sensitive identification or financial numbers, such as a Social Security number, driver’s license number, or bank account number. Sending a resume does not create an employment relationship or guarantee a response.
Third-Party Services and Links
The Website relies on services provided by other companies. These include Microsoft 365 and Microsoft Bookings (email delivery and online scheduling), Cloudflare Turnstile (spam protection on forms), Google Analytics and Google Fonts, OpenStreetMap (maps), and Firm360 (our client portal). Some of these services open on their own pages, such as the scheduling page and the client portal, and some load in the background when you view a page. Those services are operated by their providers, who are not under our control, and their own terms and privacy practices apply to your use of them. Our Privacy Policy describes the main services in more detail.
The Website also links to other websites and services, such as map directions and social media pages. The “Our Network” page describes professionals and companies with whom we collaborate. A link or a mention is provided for your convenience and is not an endorsement, warranty, or guarantee of any third party’s content, products, or services. We receive no fees or commissions from any provider listed on our “Our Network” page. We do not control or review those sites or providers and are not responsible for them. If you choose to work with any of them, that is a separate arrangement between you and them.
Client Portal
Our client portal is provided through Firm360, a separate service. Access to the portal is for our clients and for people we invite. Your use of the portal is also subject to any instructions we give you, your engagement letter, and the portal provider’s terms. Please keep your login information confidential and let us know right away if you believe it has been compromised.
Use of Content and Intellectual Property
The Website and its contents, including text, graphics, logos, names, and layout, are owned by Rood & Dinis or its licensors and are protected by copyright, trademark, and other laws. You may view the Website and print or download copies of its content for your own personal, non-commercial, informational use, provided that you do not remove any copyright, trademark, or other proprietary notices. Otherwise, the Website and its content may not be modified, copied, distributed, republished, or commercially exploited in any manner without our prior written consent. No intellectual property or other rights in the Website or its content are transferred to you, and you may not use our name or logos without our written permission.
Acceptable Use
You agree not to:
- Use the Website for any purpose that is unlawful or prohibited by these Terms.
- Bypass, disable, or interfere with security measures, including the spam protection on our forms, or probe, scan, or test the Website for vulnerabilities without our written permission.
- Use automated means, such as a robot, spider, or scraper, to access or copy the Website or to submit our forms, other than ordinary search-engine indexing.
- Send altered, deceptive, or false identifying information, or impersonate any person or organization.
- Collect or harvest personal information about other people from the Website.

Website Availability and Security
Electronic communications, databases, and websites are subject to errors, malfunctions, interruptions, tampering, and break-ins. We take reasonable precautions to protect the Website, but we do not guarantee that the Website will be available at all times or free from errors, viruses, or other harmful components, and we may change, suspend, or discontinue any part of the Website at any time. You are responsible for protecting your own devices and data, including by scanning any files you download from the Website.
Disclaimer of Warranties
THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, ROOD & DINIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE WEBSITE AND ITS CONTENT, AND MAKES NO REPRESENTATION OR WARRANTY THAT THE INFORMATION ON THE WEBSITE IS ACCURATE, COMPLETE, OR CURRENT.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROOD & DINIS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, USE, INCOME, OR PROFIT, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE WEBSITE OR ITS CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. These Terms apply to the Website only. They do not limit any liability that cannot be limited under applicable law, and they do not change the terms of any written engagement letter between you and Rood & Dinis, which governs the services we provide to you as a client.
Indemnification
To the extent permitted by law, you agree to indemnify Rood & Dinis and its partners, employees, and agents against third-party claims, and the reasonable costs of responding to them (including reasonable attorneys’ fees), to the extent the claims arise from (a) your own unlawful use or misuse of the Website, or (b) information or content that you submit through the Website and did not have the right to submit. This does not apply to the extent a claim is caused by our own negligence or misconduct. We will give you prompt notice of any claim, and we will not settle it on terms that require you to pay or do anything without your consent, which will not be unreasonably withheld. This section does not apply to, or change, any engagement letter between you and us.
Accessibility
We want everyone to be able to use this Website. If you have difficulty viewing or using any part of it, or if you would like information or a document in another format, please call us at any of our offices or email info@roodcpas.com, and we will work with you to provide it in a way that meets your needs.
Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, and by applicable federal law. Any dispute arising out of or relating to these Terms or your use of the Website will be brought in the state or federal courts located in Sacramento County, California, and you consent to the jurisdiction of those courts.
Changes to These Terms
We may update these Terms from time to time by posting the revised Terms on this page with a new “Last Updated” date. Your continued use of the Website after the revised Terms are posted means you accept them. Changes do not apply to any dispute that arose before the date the revised Terms were posted.
General
If any part of these Terms is found to be unenforceable, the rest will remain in effect. Our failure to enforce any part of these Terms is not a waiver of it. These Terms are the entire agreement between you and Rood & Dinis about your use of the Website. They do not replace or modify any written engagement letter between you and us.
